We are partnering with a private real estate investment and development firm based in Miami to identify a talented Associate General Counsel with 4+ years of experience in real estate law. This position is designed for an attorney with a strong background in real estate transactional work, seeking a hands-on, in-house opportunity in a dynamic investment environment focused on hospitality assets.

Position Overview:

The Associate General Counsel will work closely with the General Counsel and senior leadership to oversee all legal aspects of the firm’s real estate portfolio, including acquisitions, dispositions, financings, joint ventures, leasing, and development transactions. The role requires an attorney with excellent drafting skills, strong business acumen, and the ability to manage complex deals across various asset classes.

Key Responsibilities (Real Estate Focused):

• Draft, review, and negotiate purchase and sale agreements for commercial real estate assets, including hotels, mixed-use developments, and land acquisitions.

• Structure and negotiate joint venture agreements and co-investment vehicles related to property development and operations.

• Support real estate financings, including acquisition loans, refinancing transactions, fund-level credit facilities, and construction loans.

• Assist in real estate due diligence, including title, survey, zoning, and environmental review for transactions across multiple jurisdictions.

• Manage and oversee lease agreements, amendments, and occupancy documents for both owned and managed properties.

• Coordinate with development and asset management teams to address entitlements, construction agreements, and service provider contracts.

• Work with internal stakeholders on REIT compliance, fund structuring, and entity formation for real estate holdings.

• Ensure all real estate closings and transactions are properly documented and aligned with the firm’s risk tolerance and investment objectives.

• Liaise with external legal counsel, title companies, lenders, and brokers to move transactions forward and ensure smooth closings.

• Maintain and organize all real estate legal files, templates, and precedent agreements for institutional-grade compliance.

Qualifications:

• Juris Doctorate from an accredited law school and active membership in a U.S. state bar

• 4+ years of real estate transactional experience at a leading law firm or in-house at a real estate investment/development firm

• Deep knowledge of commercial real estate law, particularly in acquisitions, dispositions, finance, and joint ventures

• Strong drafting and negotiation skills with a track record of closing complex real estate deals

• Excellent organizational and communication skills with the ability to manage multiple matters concurrently

• Self-starter with sound judgment and the ability to independently identify issues and offer practical solutions
