Job DescriptionWe are looking for an experienced Corporate Paralegal to join our team on a contract basis. This role is based in Cherry Hill, New Jersey, and offers an opportunity to work in a dynamic legal environment supporting corporate governance, regulatory compliance, and transaction-related activities. The ideal candidate will bring a strong background in corporate law and exceptional organizational skills to manage multiple priorities effectively.

Responsibilities:
• Draft, file, and manage business entity documents for corporations, LLCs, and partnerships, including formation documents, board minutes, name changes, and operating agreements.
• Maintain and update corporate minute books, primarily in virtual formats, ensuring accuracy and compliance.
• Conduct regulatory searches and filings, prepare annual reports, and assist in drafting regulatory filings.
• Perform legal research related to corporate governance and provide support to attorneys on compliance matters.
• Assist with corporate and real estate due diligence, including preparation for closings.
• Coordinate with internal and external stakeholders to ensure timely submission of SEC filings and other regulatory documents.
• Support attorneys in trial preparation and discovery processes.
• Utilize case management software to organize and track litigation-related activities.
• Manage documentation related to annual meetings and reports, ensuring compliance with state and federal regulations.• Minimum of 10 years of corporate paralegal experience in a mid-size to large firm environment.
• Bachelor's Degree and/or Paralegal Certificate.
• Proficiency in Microsoft Office Suite, Excel, and relevant legal software applications.
• Strong organizational skills and the ability to manage multiple priorities effectively.
• Experience with corporate minute books, annual reports, and SEC filings.
• Familiarity with discovery processes, litigation procedures, and trial preparation.
• Excellent research and communication skills.
• Knowledge of regulatory compliance and corporate governance.
