Associate (Senior) sought by Cleary Gottlieb Steen & Hamilton LLP in NY, NY to analyze & aid partners to identify regulatory issues & formulate bespoke hedging structures. Remote work may be permitted w/in a commutable distance from the worksite. Reqs JD, LLM or foreign equiv & 4 yrs of exp as an Associate or rltd occ. Must incl 4 yrs of exp in each of the following: Advising & representing bank & corporate clients in structuring complex over-the-counter equity & fixed-income derivative transactions; drafting, negotiating & finalizing legal docs in derivatives, capital mkts & financing transactions, incl ISDA, SIFMA & EMTA documentation, master & supplemental confirmations, collateral documentation, margin loan documentation & other bespoke docs; Conducting analysis on & aid partners in structuring viable hedging strategies in connection w/ bespoke derivatives transaction structures; Analyzing & proposing how to structure transactions to resolve legal issues under the SEC, CFTC, FINRA & other regulatory regimes in respect of bespoke derivatives transaction structures; Planning, proposing & finalizing strategies to allocate various transaction risks & regulatory compliance burdens (e.g., equity price risks, deal contingencies, hedging costs, securities law reporting & gaming law approval, etc.) among trade counterparties & potential hedge counterparties; & Conducting concurrent reviews of derivatives transactions & rltd documentation w/ specialists, such as tax, bankruptcy & banking experts to identify & resolving legal issues for derivative transactions. Must be admitted to practice law in the State of NY. The base salary for associate positions is $225,000 - $435,000/yr, depending upon class yr.
