Corporate Tax Attorney - Sr Associate/Of Counsel

Position Overview
We are seeking a highly skilled Corporate Tax Attorney to join our legal team as a Senior Associate or Of Counsel. The ideal candidate will possess extensive experience in corporate tax law, focusing on transactional tax structuring, mergers and acquisitions, and cross-border transactions. This role is crucial for providing sound legal advice to clients in navigating complex tax issues and ensuring compliance with applicable laws.

Key Responsibilities

  • Provide expert legal advice on corporate tax matters including M&A transactions, joint ventures, and corporate reorganizations.
  • Conduct thorough analysis of tax laws and regulations to develop effective tax strategies for clients.
  • Draft and review legal documents such as shareholder agreements, LLC agreements, and tax compliance filings.
  • Advise clients on tax planning initiatives and transfer pricing strategies to optimize their overall tax position.
  • Collaborate with clients and internal teams to structure transactions that minimize tax liabilities and ensure compliance.
  • Represent clients in discussions with tax authorities and during audits, providing legal support and guidance.

Qualifications

  • Juris Doctorate from an accredited law school with bar admission in NJ; bonus points for admission in NY
  • Minimum of 5 years of experience in corporate tax law, with a focus on transactional tax structuring and compliance.
  • Strong understanding of federal and state tax laws, including regulations governing LLCs, S-Corps, and C-Corps.
  • Demonstrated experience in M&A, joint ventures, and corporate reorganizations.
  • Excellent analytical and problem-solving skills with a keen attention to detail.
  • Strong communication and interpersonal skills, with the ability to build relationships with clients and colleagues.
